Article I
Name - Location - Purposes

Section 1) Name

The "Fondazione AMGA" is established in accordance with article. 14 of the Italian Civil Code.

Section 2) Location

The Foundation is based in Genoa, Via SS. Giacomo e Filippo 7.

Section 3) Purposes

The Foundation is non-profit making and non-confessional.
The Foundation pursues purposes in the field of nature and environment safeguard and protection.

It carries out its activities anywhere on the national territory and abroad.
In order to reach its purposes the Foundation will promote and develop cultural initiatives aimed at safeguarding nature and environment, particularly in the field of water resources, and at achieving an optimal management of water services and public utilities in general.
Furthermore the Foundation can:

1. establish a centre for social, cultural and technological innovation, carrying out research undertaking and promoting initiatives of public and private research entities;
2. develop scientific research activities of particular social interest in the field of energy consumption reduction and waste disposal;
3. promote and develop research and activities in the field of nature conservation and environment and water resources protection and of water and other public utilities management, both directly and by organizing or fostering meetings, workshops, seminars and allowing subsidies, awards and grants;
4. organize training, update and specialization initiatives on the subject of nature conservation and environment and water resources protection and of water and other public utilities management, also against payment, also with the support of external advisors and in partnership with universities and public and private entities;
5. promote and develop written, audiovisual and multimedia publishing initiatives;
6. carry out commercial activities, also in the publishing and audiovisual sector, instrumental to the achievement of institutional purposes;
7. support the activities of entities operating in the field of nature conservation and environment and water resources protection and of water and other public utilities management;
8. promote, fund or sponsor cultural events in the field of nature conservation and environment and water resources protection and of water and other public utilities management;
9. provide adequate organizational and promotional support to all the above-mentioned initiatives.
10. develop any kind of initiative that can be of interest of the Founder and, in general, of third parties, in the fields of nature and environment.

To reach its goals the Foundation shall also undertake all the initiatives and take all the actions needed to favour a concrete achievement of its purposes and a development of institutional activities, for instance it shall:

1. sign any appropriate deed or contract, also concerning funding of stated operations, including, among other things, short and long-term loans and borrowing, real estate purchase or building lease, any agreement, which could also be entered in public registers, with public or private entities, that is considered as convenient and useful for the achievement of Foundation purposes;
2. administer and manage real estate of which it is owner, leaseholder or gratuitous bailee;
3. sign agreements with companies and public or private bodies;
4. sign agreements to entrust to third parties a part of the activities linked and instrumental to the achievement of the purposes mentioned in section 3;
5. provide coordination with other entities operating in its sector;
6. to involve other organisms in order to make its action more effective, to participate in companies, consortia, associations and other organisations having purposes similar to its own;
7. to develop any other appropriate activity, that is any activity supporting the achievement of institutional goals, considered as appropriate by the Board of Directors for the achievement of the Foundation's purposes o for an increase of the Foundation's assets to be used for the above purposes.

To better carry out its activities the Foundation is allowed to make use of the image, offices, resources and competencies of Iride Acqua Gas S.p.A.
